Corporate Governance Execution
The company established its "Corporate Governance Best Practice Principles" in August 2015, which were later amended in March 2025. These principles have been disclosed on the TWSE/TPEx and the company's website.In addition to establishing internal regulations, the company prohibits insiders from trading securities based on non-public market information. The principles further specify control measures on stock transactions for insiders upon learning of the company's financial reports or related performance information. These measures include, but are not limited to, prohibiting directors from trading company stocks during blackout periods: 30 days prior to the annual financial report announcement and 15 days prior to the quarterly financial report announcements.
In accordance with the company's scale, business operations, and management needs, the Secretariat of the Board is staffed with competent and adequate corporate governance personnel responsible for governance-related affairs. The company has also appointed a Corporate Governance Officer, who is the highest-ranking officer responsible for corporate governance matters. This officer must hold a lawyer or accountant license or have at least three years of experience in a management position related to legal, financial, shareholder services, or corporate governance in securities, financial, futures institutions, or publicly listed companies.
It is required that the corporate governance affairs mentioned in the preceding paragraph include at least the following items:

- Handling matters relating to board meetings and shareholders meetings according to laws.
- Producing minutes of board meetings and shareholders meetings.
- Assisting in onboarding and continuous development of directors and supervisors.
- Furnishing information required for business execution by directors and supervisors.
- Assisting directors and supervisors with legal compliance.
- Reporting to the board of directors the results of examination as to whether the qualifications of independent directors at the time of their nomination and election and during their term of office conform to applicable laws and regulations.
- Handling matters related to director changes.
- Other matters set out in the articles of incorporation or contracts.
Corporate Governance Operations
- The 2025 Annual General Meeting of Shareholders was held on May 29, and the meeting utilized video conferencing as a supplementary tool. After the meeting, the audio and video recordings were made available on the company's website.
- The actual attendance rate of all directors in 2025 was 99.15%, exceeding the corporate governance evaluation benchmark of 85%, in compliance with the governance evaluation requirements.
- In 2025, the training hours for all directors also met the corporate governance evaluation standards, with continuing directors completing over 6 hours and newly appointed directors completing over 12 hours, as required.
- On August 11, 2020, the Board of Directors approved the reorganization to establish the Secretariat of the Board, staffed with qualified corporate governance personnel responsible for governance-related matters. In accordance with regulations from the competent authority and the stock exchange, a Corporate Governance Officer must be appointed. On November 9, 2023, the Board approved the appointment of Ms. Yen-Ling Chen as the Director of the Secretariat of the Board, also serving as the Chief Governance Officer.
